Written in plain language for huelabs. Please have a lawyer familiar with Indian law review it before the site goes live.
About these terms
These terms apply when you use huelabs.in, hire huelabs (“we”, “us”) for a project, buy something from our Shop, or use our Labs software. By using the site or our services, you agree to them.
For client work, the signed proposal or agreement for your project comes first. Where it says something different from these terms, the proposal wins.
Using our website
- You may browse and share our content for personal, non-commercial use.
- You may not copy, resell or republish our designs, text, images or code without written permission.
- You may not try to hack, overload or disrupt the site, or use it for anything unlawful.
- Links to other websites are for convenience. We aren’t responsible for their content.
Client projects
Proposals. Every project starts with a written proposal that sets out the scope, deliverables, timeline and fee. Quotes are valid for 30 days.
Your part. Projects run on time when we get feedback, content and approvals on time. If inputs are delayed, the timeline moves by the same amount.
Revisions. Each proposal includes a set number of revision rounds. Further revisions, or work outside the agreed scope, are quoted and billed separately. We’ll always tell you before extra charges apply.
Approval. A deliverable counts as approved when you confirm it in writing (email is fine), or if we hear nothing within 10 working days of delivery.
Third-party costs. Fonts, stock images, plugins, domains, hosting and ad spend are not included unless the proposal says so, and are billed at cost.
Fees & payment
- Prices are in Indian Rupees (INR). GST is added as applicable. International clients may be invoiced in USD.
- Unless the proposal says otherwise, projects need a 50% advance before work begins and the balance on delivery, before final files are handed over or a site goes live.
- Invoices are due within 15 days.
- If an invoice is more than 30 days overdue, we may pause work until it’s paid.
- Retainers and monthly services, such as marketing, social media and maintenance, are billed in advance each month.
Ownership & credit
Your work. Once you’ve paid in full, you own the final approved deliverables made for you, such as your logo, brand assets, website design and code.
Our tools. We keep ownership of our own tools, templates, frameworks and code libraries. You get a permanent licence to use them as part of your project. Concepts and drafts you didn’t choose stay with us.
Your materials. You confirm that you have the rights to everything you give us, such as logos, text and photos. You let us use them for your project.
Portfolio. We may show finished work in our portfolio and on social media after launch, unless you ask us not to in writing or we’ve signed a confidentiality agreement.
Confidentiality
We keep your business information confidential and only use it for your project. We’ll sign a separate non-disclosure agreement (NDA) if you need one.
Hosting, domains & maintenance
Where we provide hosting, domain registration or maintenance:
- services renew automatically for the period you chose, unless you cancel before the renewal date;
- domains are registered in your name or your company’s, and you can move them to another provider at any time;
- we aim for high availability but can’t guarantee uninterrupted service, as some outages are caused by upstream providers;
- we may suspend a service that is used for unlawful content, spam or attacks, or that remains unpaid.
Shop & licences
Our Shop sells digital products only, such as brand kits, templates, website themes, UI kits, icons and fonts.
Orders. Prices in rupees include GST. Customers outside India pay in US dollars, and no Indian GST is added. An order is confirmed once payment succeeds. You’ll get an email with your download link, licence and invoice. How and when files arrive is explained in our Delivery Policy. If an item is shown at the wrong price, we may cancel the order and refund you in full.
Your licence. You don’t buy the product itself. You buy a non-exclusive, non-transferable licence to use it, under the tier you chose:
- Personal: one person, for your own brand, business or projects. Not for client work.
- Commercial: up to five people in one company, for your own projects and unlimited client projects. You may hand finished work to clients, but not the original files.
- Extended: unlimited people in one company, including use in products you sell or give away, such as apps, SaaS products, templates for end users or merchandise.
What no licence allows. You may not resell, share, sublicense or give away the original files, or anything that is mainly the original files, even if you change them. You may not use them in a trademark without asking us first. Fonts are licensed by their own terms, which are included in the download.
Updates. Updates to a product you’ve bought are free for as long as we sell it. We may retire a product, but you can keep using the version you have.
Breaking the licence. If you break these terms, your licence ends and you must stop using the files.

Labs software & subscriptions
Labs is the software and tools we build and run, such as Brand Hub. Each tool may show extra terms when you sign up. Where they differ from this page, the tool’s terms apply.
- Accounts. You’re responsible for your account, keeping your password safe, and everything done under it. You must be 18 or over, or have a parent’s or guardian’s consent.
- Free trials. Trials last for the period shown. When a trial ends, you choose a paid plan or your account is paused. We don’t charge you without you choosing a plan.
- Billing. Paid plans are billed in advance, monthly or yearly, in INR plus GST in India, or in US dollars elsewhere. They renew automatically until you cancel.
- Changes to your plan. Upgrades start straight away and are charged for the rest of the period. Downgrades and cancellations take effect at the end of the current period.
- Price changes. We’ll give you at least 30 days’ notice by email before a price increase applies to you.
- Your data. What you upload stays yours. You give us permission to store and process it only to run the service for you. You can export it at any time. After your account closes, we delete it within 30 days, except where the law requires us to keep records.
- Fair use. Don’t use our tools for anything unlawful, to upload content you don’t have rights to, to send spam, or to try to break or overload the service. We may suspend accounts that do.
- Availability. We work to keep every tool running, but we can’t promise it will never go down. We may change or improve features over time. If we shut a tool down, we’ll give you at least 60 days’ notice, and refund any unused prepaid time.
- Beta tools. Tools marked Beta are free while in beta. They may change or have bugs, so keep your own copy of anything important.
Ending a project
Either side may end a project with 15 days’ written notice. You pay for work completed up to that date, and we hand over everything paid for. Cancellation charges and refunds are explained in our Refund & Cancellation Policy.
Liability
We take great care with our work, but the site and our services are provided “as is”. To the extent the law allows:
- we aren’t liable for indirect losses, such as lost profits, revenue or data;
- our total liability for a project is limited to the fees you paid us for that project. For Shop and Labs, it is limited to what you paid us in the 12 months before the claim; and
- we aren’t responsible for delays caused by events beyond our control, such as natural disasters, power or internet outages, or government action.
Nothing in these terms limits liability that can’t be limited under Indian law.
Governing law
These terms are governed by the laws of India. We’ll always try to settle a disagreement by talking first. If that fails, the courts of Kochi (Ernakulam), Kerala have exclusive jurisdiction. This does not affect your rights as a consumer under the Consumer Protection Act, 2019.
